Background: Purpose and Ethos of the PowerShift™ Ecosystem

  1. The PowerShift™ Ecosystem represents a pioneering movement towards redefining how we collaborate, govern, and share value in a rapidly evolving world. At its core, the Ecosystem is driven by a commitment to decentralization, self-organization, and a purpose-driven approach to work and community engagement.
  2. Decentralized Governance: Central to the ethos of the PowerShift™ Ecosystem is the concept of decentralizing power and decision-making. This approach empowers individuals and communities to have a more significant role in shaping the direction and impact of their collective efforts. By moving away from traditional hierarchical structures, the Ecosystem fosters a more democratic, inclusive, and responsive environment.
  3. Self-Organization and Holacracy: The Ecosystem adopts self-organization as a key operational principle, often utilizing Holacracy as a framework. This system allows for a more organic, flexible, and efficient way of working, where roles are defined around the work to be done rather than rigid job titles. It encourages transparency, agility, and innovation, enabling Powershifters to adapt quickly to changing needs and opportunities.
  4. Purpose-Driven Collaboration: The PowerShift™ Ecosystem places a strong emphasis on aligning individual purposes with collective goals. This alignment ensures that every Powershifter’s contributions are meaningful and fulfilling, leading to more effective and impactful outcomes. The Ecosystem nurtures a culture where every Powershifter is encouraged to bring their whole selves to their roles, contributing their unique strengths and passions.

Powershifter's Role and Commitment:

Role Definition for Individual Powershifter in PowerShift™ Ecosystem

Purpose: Contribute to the flourishing of the PowerShift™ Ecosystem embodying its principles and values, engaging in self-organization, and aligning personal purpose with the broader purpose of the Ecosystem.

Role: Powershifter 

Accountabilities

  1. Aligning Personal Purpose and Power with Ecosystem Purpose and Power
  2. Reviewing and aligning personal actions and decisions with the PowerShift™ Ecosystem’s overarching purpose.
  3. Utilizing tension processing as a tool for contributing to the ecosystem’s continuous development and enhancement.
  4. Identifying and proposing incremental improvements through tension processing pathways
  5. Embracing and promoting the PowerShift™ Principles within the Ecosystem
  6. Participating in community and organizational governance and operations to foster a vibrant, adaptable environment.
  7. Supporting and engaging in practices that deepen the understanding and integration of individual and collective purposes, fostering a culture of purposeful work and shared advancement within the Ecosystem.

Cultural and Behavioral Norms:

  1. Hospitality and Kindness: Consistently embody a spirit of hospitality, being prompt, responsive, and specific in all interactions. This includes speaking hard truths and facing reality with kindness, prioritizing being of service over being merely “nice.   
  2.  Definition of Hospitality: At its core, PowerShift Ecosystem is a hospitality provider.  As such, all Powershifters endeavor to exemplify the art of hosting by delivering world-class hospitality in all manner of interactions.Hospitality, for this Agreement, is defined as the felt sense associated with a concrete action or style of communication.  When delivered well, the action or speech conveys to the receiver a sense of “being seen” or “being heard.”  Hospitality can be further defined as communication and service that is prompt, responsive, and specific, even if what’s being communicated is unpleasant.  Sometimes defined as “greeting a stranger in a strange land“ every Powershifter shall strive to take a stance of welcoming energy toward one another and all PowerShift Ecosystem’ stakeholders.  As such, each Powershifter agrees to be as prompt as possible when responding to both positive and negative situations.

    To be clear, hospitality, or the art of hosting, is about being of service.  It is not simply about being “nice” but rather “kind.” Kindness speaks hard truths and ruthlessly faces reality.  Kindness is not merely telling our stakeholders (or even ourselves) what they or we want to hear.  Instead, it is always about speaking or acting in service of Purpose, come what may.  All Powershifters agree to strive toward kindness even over being nice.

    Similar to an Association Agreement, as a ROLE, we each agree to take a stance of hospitality when interacting with each other, our role work, and our stakeholders.  

  3. Transparency and Openness: Maintain transparency in actions and decisions, openly sharing thoughts and feedback in a constructive manner.
  4. Respect for Individual Differences: Honor individual autonomy and differences, participating in practices that enhance understanding of diverse perspectives.
  5. Curiosity and Appreciative Inquiry in Tensions: Approach interpersonal tensions with a stance of appreciative inquiry, acknowledging efforts aligned with both Individual Purpose and the Enterprise’s Current Purpose.
  6. Process Timeouts for Clarity: Utilize process timeouts to ensure clarity and alignment with the PowerShift™ principles during discussions and decision-making processes.

Confidentiality and Intellectual Property

  1. Definition of Confidential Information: “Confidential Information” includes all proprietary or confidential data related to the PowerShift™ Ecosystem, its operations, clients, financials, marketing strategies, business plans, and any work product created for the Ecosystem. This information is protected and must be treated as confidential unless otherwise agreed​​.
  2. Exclusions: Information already known by the Powershifter, publicly available, received from third parties through legitimate means, or independently developed by the Powershifter is not considered Confidential Information​​.
  3. Usage Restrictions: The Powershifter agrees to not use Confidential Information in any manner that undermines the Ecosystem’s purpose. Reasonable efforts must be made to protect this information from unauthorized disclosure, except to those who are expected to maintain its confidentiality​​.
  4. Professional Obligations: This Agreement respects the Powershifter’s professional duties and ethical responsibilities in regulated professions. The use or disclosure of Confidential Information that conflicts with these duties is not restricted by this Agreement​​.
  5. Permitted Exceptions: The Powershifter may disclose Confidential Information when required by law or if the disclosure aligns with the Powershifter’s professional activities without causing identifiable harm to the Ecosystem. The Powershifter may consult the Ecosystem’s governance processes for affirmation in such cases​​.
  6. Remediation Process: If there is a concern about the Powershifter’s use or disclosure of Confidential Information, a remediation process involving the Ecosystem’s governance structure can be initiated to address potential harm and propose corrective actions​​.
  7. Duration of Obligations: The Powershifter’s obligations under this section continue while this Agreement is in effect and cease immediately upon termination for convenience or six months after ceasing to be a Powershifter of the Ecosystem​​ if for cause.

Term and Termination

  1. Effective Term: This Agreement shall remain in effect as long as the Powershifter is in Good Standing, adhering to the terms and conditions set forth herein and abiding by all applicable formal Governance rules and structures of the PowerShift™ Ecosystem.
  2. Voluntary Termination by Powershifter: The Powershifter reserves the right to terminate this Agreement at any time. Such termination must be communicated explicitly to the designated role within the Ecosystem responsible for Individual Ecosystem Powershifter. This notice should be provided in a manner consistent with the communication protocols established by the Ecosystem.
  3. Termination for Cause by the Ecosystem: The role accountable for Individual Ecosystem Powershifter Standards within the PowerShift™ Ecosystem may propose the termination of this Agreement for cause. Such a proposal should be directed to the appropriate body responsible for reviewing and approving or denying termination proposals. Causes for termination include, but are not limited to, breach of this Agreement, failure to maintain Good Standing, or actions that significantly undermine the Ecosystem’s purpose.
  4. Opportunity for Remediation: In the event that termination is recommended, the Powershifter shall be granted an opportunity to seek remediation. The Powershifter may present their case for reinstatement to the appropriate governing body handling such matters, providing evidence of corrective actions or disputing the grounds for termination.
  5. Acquisition of PSTX upon Termination: Upon Termination of this Agreement, whether for convenience or cause, the PowerShift™ Ecosystem shall acquire all PSTX tokens currently held by the Powershifter. The acquisition will be at the current market price per token at the time of termination. The Powershifter acknowledges that they are not entitled to hold PSTX tokens unless they maintain their Good Standing status within the Ecosystem.

Miscellaneous

  1. Governing Law; Jurisdiction; Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of [Appropriate Jurisdiction], without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be resolved in the manner set forth in the PowerShift™ Ecosystem’s foundational documents, emphasizing collaborative and purpose-aligned dispute resolution methods that reflect the ethos of decentralized governance and self-organization.
  2. Entire Agreement: This Agreement embodies the full and entire understanding and agreement between the parties with respect to the subject matter hereof, superseding all prior and contemporaneous agreements, representations, and understandings, whether oral or written. This Agreement aligns with the principles and practices of the PowerShift™ Ecosystem and reflects the mutual commitment to purpose-driven engagement and collaboration.
  3. Severability: Should any provision of this Agreement be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision, and this Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein, while maintaining the original intentions of the parties to the fullest extent possible.
  4. Binding Effect: This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors, heirs, representatives, and permitted assigns. Assignment of this Agreement by the Powershifter is subject to the principles and guidelines of the PowerShift™ Ecosystem, ensuring alignment with its decentralized and purpose-driven nature. The Ecosystem may assign this Agreement in connection with organizational restructuring or as part of strategic alignments that further the Ecosystem’s purpose.
  5. Headings: The headings and titles contained in this Agreement are included for convenience only and shall not limit or otherwise affect the terms hereof. They are not to be considered part of this Agreement and do not necessarily reflect the full contents of each section.
